Seller Terms and Conditions for RITZ BIZTECH PRIVATE LIMITED (Marketplace)

These Seller Terms and Conditions (“Agreement”) govern the relationship between RITZ BIZTECH PRIVATE LIMITED (“Company”, “We”, “Our”, “Us”) and sellers who wish to list, market, and sell their products through our online marketplace platform (“Marketplace”), RitzBizKart. By registering as a seller on the Marketplace, you (“Seller”, “You”) agree to abide by these terms and conditions.
Please read this Agreement carefully before accepting the terms. If you do not agree to these terms, you must not register as a seller or use our platform to offer products.
1. Agreement Overview
1.1 Binding Agreement: By completing the seller registration process and listing products on the RitzBizKart Marketplace, you accept and agree to these Seller Terms and Conditions, our Privacy Policy, Refund and Cancellation Policy, Shipping and Delivery Policy, and any other applicable policies and guidelines set forth by RITZ BIZTECH PRIVATE LIMITED.
1.2 Changes to the Agreement: We may update or amend this Agreement at any time. Any changes will be communicated to sellers, and the updated version will be available on the website. It is your responsibility to review the latest version regularly.
2. Eligibility and Account Creation
2.1 Eligibility Requirements: To register as a seller, you must be a legally registered business entity in India (sole proprietor, partnership, LLP, or private limited company), have a valid GST registration (if applicable), and a valid bank account under the business name.
2.2 Account Creation: To become a seller on our Marketplace, you must complete the registration process, including the submission of required documents (refer to the Seller Documentation Requirements). You agree to provide accurate, complete, and current information during the registration process.
2.3 Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials and account information. You agree to notify us immediately of any unauthorized use of your account.
3. Product Listings and Content
3.1 Listing Requirements: As a seller, you are responsible for ensuring that all product listings comply with Indian laws and our Marketplace policies. Product listings should include accurate and truthful information, including:
3.2 Product Compliance: You are responsible for ensuring that the products you list do not infringe on any third-party intellectual property rights (patents, trademarks, copyrights, etc.) and comply with all relevant consumer protection laws and regulations.
3.3 Prohibited Products: The following types of products are prohibited from being listed on our Marketplace:
Counterfeit or pirated goods
Illegal products or services
Dangerous, hazardous, or unapproved products
Adult, obscene, or offensive products
3.4 Listing Suspension: We reserve the right to suspend or remove any product listing that violates our policies, laws, or is deemed inappropriate.
4. Pricing and Fees
4.1 Pricing: As a seller, you are responsible for setting the prices of your products. All prices must include any applicable taxes and be clearly stated.
4.2 Marketplace Commission: RitzBizKart charges a commission on each sale made through the Marketplace. The commission rate is outlined in your seller agreement and may vary by product category. This fee is deducted from the sale price before payment is made to the seller.
4.3 Payment Gateway Fees: Payment processing fees may apply and will be deducted from your earnings based on the payment methods used.
4.4 Seller Fees and Taxes: As a seller, you are responsible for paying all applicable fees, taxes, and charges related to your business operations, including but not limited to GST.
5. Order Management and Fulfillment
5.1 Order Processing: Once a customer places an order, you are required to process and ship the order promptly, usually within 48 hours, subject to product availability.
5.2 Shipping and Delivery: You are responsible for the packaging, shipping, and delivery of orders. All products must be shipped through reliable couriers within India, and delivery times should meet the commitment of 2-7 days from the date of shipment.
5.3 Shipping Charges: You may charge shipping fees to customers, as long as these charges are clearly disclosed before purchase.
5.4 Order Cancellation: Once an order is shipped, it cannot be canceled. If there is an issue with the product after shipment, the customer will need to follow the Returns and Refunds Policy.
6. Returns, Refunds, and Customer Service
6.1 Returns Policy: You must comply with our Returns and Refunds Policy. If a customer wishes to return an item, you are responsible for handling the return process, which includes providing the customer with a refund if the return is valid.
6.2 Customer Complaints: You must address all customer complaints or inquiries promptly. You are responsible for managing customer service in a professional manner and resolving any issues within a reasonable timeframe.
6.3 Refunds: If a customer is entitled to a refund, you agree to process the refund in accordance with our policies and applicable laws.
7. Payment Terms and Payouts
7.1 Payment Processing: Payments for orders will be processed through our payment gateway. You will receive payouts for your sales, minus the applicable commission and transaction fees.
7.2 Payout Frequency: Payments will be transferred to your bank account within the time frame specified in your seller agreement (typically within [X] business days after an order is completed and the customer receives their product).
7.3 Refunds and Chargebacks: In the event of a refund or chargeback, the amount will be deducted from your pending payouts.
7.4 Tax Compliance: You are responsible for managing your own tax obligations, including filing returns for GST or any other applicable taxes in accordance with Indian tax laws.
8. Seller Obligations and Responsibilities
8.1 Compliance: You must comply with all applicable Indian laws, including consumer protection laws, tax laws, and regulations related to the sale of goods and services.
8.2 Product Quality: You must sell only high-quality, genuine products. You are responsible for product warranties, including repair, replacement, or refunds in accordance with applicable laws.
8.3 Intellectual Property: You must ensure that your product listings do not infringe upon the intellectual property rights of third parties, including patents, copyrights, and trademarks.
8.4 Customer Privacy: You must respect customer privacy and handle all personal data in accordance with our Privacy Policy and applicable data protection laws.
9. Suspension, Termination, and Account Deactivation
9.1 Suspension of Account: We may suspend or deactivate your seller account at our discretion if you violate any part of this Agreement, fail to fulfill orders, or engage in unethical or illegal practices.
9.2 Termination: You may request to terminate your seller account by providing notice to us, subject to any outstanding obligations. Upon termination, we reserve the right to withhold any outstanding payments until all orders are completed, and any customer issues are resolved.
9.3 Breach of Terms: If you breach any terms of this Agreement, we may suspend your ability to list products or terminate your account. You will remain liable for all obligations under this Agreement even after termination.
10. Limitation of Liability
10.1 Marketplace Liability: RITZ BIZTECH PRIVATE LIMITED is not responsible for the quality, accuracy, or legality of products sold by you on the Marketplace. We are only a platform facilitating transactions between buyers and sellers.
10.2 Indemnification: You agree to indemnify and hold RITZ BIZTECH PRIVATE LIMITED harmless from any claims, damages, liabilities, or expenses arising from your use of the platform, including violations of this Agreement or third-party intellectual property rights.
11. Miscellaneous
11.1 Force Majeure: We are not responsible for delays or failure to perform due to circumstances beyond our control, including acts of nature, government actions, and technological failures.
11.2 Dispute Resolution: Any disputes arising under this Agreement will be subject to Indian law and will be resolved through arbitration in accordance with the laws of India.
11.3 Governing Law: This Agreement is governed by and construed in accordance with the laws of India.
